Kolkata-based FMCG major Emami Limited has announced a definitive agreement to acquire the remaining 73.5% stake in Axiom Ayurveda Private Limited for an aggregate consideration not exceeding ₹200 crore.

This move will transition Axiom Ayurveda from an associate company to a wholly-owned subsidiary of Emami, marking the group’s formal and decisive entry into the fast-growing health and wellness beverage segment.


1. The Transaction Roadmap

The acquisition is being executed in a phased manner, with the full buyout expected to be completed by June 30, 2026.

  • Existing Stake: Emami previously held a 26.5% stake in the company (acquired in September 2023).
  • First Tranche (April 1, 2026): Emami has already picked up an additional 36.7% stake (84,30,909 equity shares), taking its total holding to 63.2%.
  • Final Tranche: The remaining stake (~36.8%) will be acquired over the next three months, subject to customary closing conditions.
  • Consideration: Up to ₹200 Crore, to be paid entirely in cash.

He noted that the shift toward healthier alternatives without compromising on taste—a core philosophy of AloFrut—will remain central to the brand’s identity under the Emami fold.
