Kolkata-based FMCG major Emami Limited has announced a definitive agreement to acquire the remaining 73.5% stake in Axiom Ayurveda Private Limited for an aggregate consideration not exceeding ₹200 crore.
This move will transition Axiom Ayurveda from an associate company to a wholly-owned subsidiary of Emami, marking the group’s formal and decisive entry into the fast-growing health and wellness beverage segment.
1. The Transaction Roadmap
The acquisition is being executed in a phased manner, with the full buyout expected to be completed by June 30, 2026.
- Existing Stake: Emami previously held a 26.5% stake in the company (acquired in September 2023).
- First Tranche (April 1, 2026): Emami has already picked up an additional 36.7% stake (84,30,909 equity shares), taking its total holding to 63.2%.
- Final Tranche: The remaining stake (~36.8%) will be acquired over the next three months, subject to customary closing conditions.
- Consideration: Up to ₹200 Crore, to be paid entirely in cash.
2. Axiom’s Portfolio: The “Health Beverage” Engine
Axiom Ayurveda, headquartered in Ambala, Haryana, has carved a niche in the “Natural & Functional” drink category.
| Brand | Product Category | Description |
| AloFrut | Flagship Beverage | A proprietary fusion of aloe vera pulp with real fruit blends (e.g., Litchi, Guava, Mango). |
| Axiom Jeevan Ras | Health Juices | Traditional Ayurvedic health juices. |
| Mukti Gold | Personal Care | Ayurvedic beauty and personal care products (contributes ~15-20% to revenue). |
| New Categories | Energy & Social | Recent expansions into mocktails and energy drinks. |
3. Financial Growth & Outlook
Axiom is a profitable entity that has seen steady growth despite the competitive landscape.
- FY25 Turnover: Reported a consolidated turnover of ₹110 crore (up from ₹107 crore in FY24).
- FY26 Target: Emami expects Axiom to achieve a significant top-line jump to ₹180 crore in the current fiscal year.
- New Leadership: To drive this expansion, Emami has appointed Harkirat Bedi (formerly Vice President at Dabur Nepal) as the CEO of Axiom Ayurveda.
4. Strategic Rationale: The “Axiom-Emami” Synergy
Emami’s management views this acquisition as a “third engine of growth,” complementing its core personal care (BoroPlus, Navratna) and healthcare (Zandu) businesses.
- Consumer Shift: Capitalizing on the clear move away from carbonated sodas toward healthier, functional alternatives.
- Distribution Leverage: Emami plans to scale the AloFrut brand by plugging it into its massive General Trade (GT) and government institutional network (CSD/CPC).
- Operational Control: Full ownership allows Emami to integrate Axiom’s supply chain and R&D more deeply with its own, driving cost and marketing synergies.
5. Founder’s Perspective
Axiom’s founder, Rishabh Gupta, stated that Emami’s deep industry expertise and distribution muscle make it the ideal partner to take the brand into its next phase. He noted that the shift toward healthier alternatives without compromising on taste—a core philosophy of AloFrut—will remain central to the brand’s identity under the Emami fold.
