In a landmark consolidation of India’s edtech sector, upGrad has officially signed a term sheet to acquire its rival Unacademy in a 100% share-swap deal. While the final valuation will only be disclosed upon closing, analysts estimate the transaction value between $300 million and $500 millionโrepresenting a staggering 85%โ90% drop from Unacademy’s 2021 peak valuation of $3.44 billion.
The deal, confirmed via X (formerly Twitter) by founders Ronnie Screwvala and Gaurav Munjal on March 15, marks the end of the “unicorn era” for Unacademy as an independent entity and its transition into the broader upGrad ecosystem.
1. Deal Structure: The “Pure” Swap
Unlike many high-profile acquisitions, this is a non-cash transaction, reflecting the disciplined funding environment of 2026.
- 100% Share-Swap: Unacademy shareholders will receive equity in upGrad in exchange for their existing shares. No cash will change hands.
- Break Fee Included: To ensure commitment, both companies have agreed to a “break fee”โa penalty payable if either party walks away from the deal before it closes.
- Cash Reserves: Crucially, Unacademy brings more than $100 million in cash reserves to the table, providing upGrad with significant liquidity to fuel its “AI-first” expansion.
- Leadership Continuity: Gaurav Munjal will remain as the Co-Founder and CEO of Unacademy, continuing to lead the platform as a subsidiary within upGrad.

The combined company will focus heavily on Airlearn, an AI-driven language learning platform that has already begun gaining global traction. The goal is to move beyond traditional video lectures toward AI-native personalized tutoring and automated content delivery.

The acquisition is the final chapter in a difficult period for Unacademy, which faced multiple rounds of layoffs and a pivot away from its company-operated offline centers in 2024 and 2025.
